Acceptance of terms
By accessing prizmadigital.com or using services provided by Prizma Digital Pvt. Ltd., you agree to these Terms & Conditions. If you do not agree, please do not use the website or services.
Our services
Prizma Digital provides software development, SaaS products, AI automation, website and app development, digital marketing, SEO and branding services. Specific deliverables, timelines, fees and responsibilities for each engagement are defined in a separate proposal, statement of work or agreement, which prevails over these terms where they conflict.
Quotes & payments
- Quotes are valid for 30 days unless stated otherwise.
- Projects typically require an advance payment before work begins, with remaining milestones as agreed.
- Invoices are payable within the period stated on the invoice. Late payments may pause work.
- Prices are exclusive of applicable taxes (such as VAT) unless stated.
Intellectual property
Upon full payment, clients own the final deliverables created specifically for them, unless otherwise agreed. Prizma Digital retains ownership of its pre-existing tools, libraries, frameworks and products (including Prizma360 and GoBrandIt), and may showcase non-confidential work in its portfolio unless you request otherwise.
Client responsibilities
Clients agree to provide accurate information, timely feedback, content and access needed to deliver the work, and to ensure they have rights to any materials they supply.
SaaS products
Use of Prizma360, GoBrandIt and other Prizma products is additionally governed by the product's subscription terms. You are responsible for activity under your account and for keeping credentials secure.
Warranties & liability
We deliver services with reasonable skill and care. Except as expressly stated in a signed agreement, services are provided "as is". Results from marketing and SEO depend on many external factors and cannot be guaranteed. To the maximum extent permitted by law, our total liability is limited to the fees paid for the specific service giving rise to the claim.
Confidentiality
Both parties agree to keep confidential information private and use it only for the purpose of the engagement.
Termination
Either party may terminate an engagement as set out in the relevant agreement. Fees for work completed up to termination remain payable.
Governing law
These terms are governed by the laws of Nepal. Disputes will first be resolved through good-faith negotiation, and otherwise fall under the jurisdiction of the courts of Kathmandu, Nepal.
